Between: EASYWILL SERVICES LLC, a company duly incorporated and existing under the laws of the United Arab Emirates, with registered offices at Office SM1-02-114, Arab Bank Building, Port Saeed, Dubai, United Arab Emirates — Email: [email protected] — License No: 1454735, hereinafter referred to as "EasyWill".
And: a partner agency duly incorporated and existing under the laws of the United Arab Emirates, hereinafter referred to as the "Mandatary" or the "Partner".
EasyWill grants the Partner a non-exclusive mandate to procure, promote, and disseminate EasyWill services to clients and contacts, consisting of the preparation and digital registration of wills in compliance with UAE law. The Partner acts as a business procurer, both online and offline, without any legal or contractual authority to represent EasyWill.
The Partner will have access to a Partner Dashboard within the EasyWill platform, through which it may:
The platform automatically allocates a 25% budget on the value of each Service (Will) sold through referral, distributed by default as follows:
The Partner, after notifying affiliated Agents, may freely modify and redistribute these percentages using the dedicated dashboard function (e.g., 15% to the affiliated Agent + 10% client discount + 0% to the Partner; or 5% to the affiliated Agent + 10% client discount + 10% to the Partner, etc.).
EasyWill grants the Partner a maximum commission equal to the 25% affiliate budget on sales generated through assigned referral codes or links, according to the distribution set by the Partner. Commissions payable to the Partner are net of the client discount and affiliated agents’ commission (e.g., if 10% to the affiliated Agent + 5% client discount, the Partner receives 10%).
Commissions due to the Partner are paid directly by EasyWill to the Partner (not to third parties) to the bank account communicated by the Partner. Commissions due to affiliated Agents are paid directly by EasyWill to those agents.
Commissions accrue upon full payment of the service by the client and are settled by bank transfer or another agreed method.
No fixed remuneration, allowances, or expense reimbursements are due from EasyWill to the Partner.
This Mandate starts on the date of digital acceptance by the Partner and remains in force for an indefinite term. Either Party may terminate with 30 days’ written notice to [email protected]. EasyWill may terminate with immediate effect in case of serious breaches, including misuse of the brand, unfair competition, or violations of UAE regulations.
The Partner acts as an independent procurer. This Agreement does not create any relationship of subordination, agency, or joint venture. The Partner has no authority to bind EasyWill contractually towards third parties.
The Partner must keep confidential all commercial, technical, and legal information received from EasyWill. Clients’ personal data is processed exclusively through the EasyWill platform, which adopts advanced security and encryption protocols.
This Mandate is governed by the laws of the United Arab Emirates, with reference to Federal Decree-Law No. 41/2022 concerning civil and personal status matters. Any dispute arising from or related to this Mandate is submitted to the exclusive jurisdiction of the courts of Abu Dhabi, UAE.
This Mandate is provided in digital format. By clicking the “Register” button, the Partner declares to have read and understood this Agreement, fully accepts all terms and conditions herein, and acknowledges the full legal validity of electronic acceptance under the laws of the United Arab Emirates.
